The Takeover Regulation Panel regulates affected transactions and offers involving regulated companies. It is established under the Companies Act, 2008 (Act No. 71 of 2008), and succeeded the Securities Regulation Panel.
Its purpose is to ensure the integrity of the marketplace and fairness to holders of securities in takeovers, mergers, schemes of arrangement and similar transactions. It regulates these under the Takeover Regulations, which require among other things equal treatment of shareholders and mandatory offers once a control threshold is crossed.
It issues compliance certificates without which affected transactions may not be implemented, investigates complaints, and may make orders including compensation. It reports to the Department of Trade, Industry and Competition.
